1. Introduction

These Terms and Conditions govern the relationship between ENAC Bella Management and Training LTD ("ENAC Bella," "we," "us," or "our") and clients seeking our services. By engaging with ENAC Bella, you agree to comply with and be bound by these Terms.

2. Services Provided

ENAC Bella offers consultancy services, HR recruitment and headhunting, masterclasses through a group of experts in various fields, and project management in the fintech space on a case-by-case basis, including building payment networks and banking for clients. Our clients must be professional entities, primarily in the fintech space but not limited to it.

3. Client Responsibilities

Clients must be clear about their requests, ensure their requests align with applicable laws, and not misuse our services. For example, clients should not request a hire for one position and place them in another. Additionally, clients must ensure that once goals are reached, their agreements with providers (such as banks, employees, or lecturers) are binding, and ENAC Bella acts only as an intermediary.

4. Payment Terms

• Hiring: A success fee paid 30 days after the employee starts working. Clients must inform ENAC Bella of the employee's status. 

• Research Projects: 50% upon signing the agreement and 50% upon completion. 

• Lecturers: Payment is required in advance. 

• Other Projects: Scope of services and payment terms are tailored to the project. 

• Installments: Available for hire fees, with a 25% instalment option.

5. Intellectual Property

All processes, procedures, and materials provided by ENAC Bella remain the property of ENAC Bella. Clients cannot use these materials without written agreement. For projects where the scope includes delivering materials, clients may use them as paid for, but ENAC Bella is not restricted from using them for future projects. Knowledge is a key asset of the company, and website content cannot be used or duplicated by clients.

6. Limitation of Liability

ENAC Bella is not liable for direct or indirect damages related to hiring. Our role is to publish, interview, summarize, and provide employment suggestions, which falls under consultancy. Payment in installments is from a financial standpoint only and does not imply ongoing responsibility. ENAC Bella's liability is limited to 50% of the service fee, and only after delivery and full payment. There is no liability for introduction services. The final service agreement between the client and the provider is binding.

7. Termination of Services

ENAC Bella may terminate services if there is a risk of reputational damage, breach of confidentiality, failure to pay on time, unauthorized use of the company's name, misleading actions, misuse, inappropriate behavior, or compliance issues. Clients can terminate at any time, but after signing the agreement and work begins, 25% of the fee is due. If partial delivery has occurred, 50% is due after full delivery. No refunds or contract terminations are possible after full delivery.

8. Governing Law and Dispute Resolution 

These Terms shall be governed by the laws of Cyprus. Disputes will first be handled through arbitration, and only if arbitration fails will they be taken to court.

9. Modifications to the Terms 

ENAC Bella can modify these Terms and Conditions at any time. Clients can access historical T&Cs and the dates they were changed. Clients must request to be notified of changes.

10. Force Majeure 

ENAC Bella shall not be liable for any failure to perform or delay in performing its obligations due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, pandemics, government actions, or other unforeseeable circumstances ("Force Majeure Event"). In such cases, ENAC Bella's obligations will be suspended for the duration of the Force Majeure Event.

12. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, such provision shall be deemed modified to the extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms and Conditions, along with any other agreements or policies referenced herein, constitute the entire agreement between ENAC Bella and the client regarding the subject matter hereof and supersede all prior agreements, understandings, and negotiations, whether written or oral.

14. Waiver 

No waiver of any provision of these Terms and Conditions shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver. Any failure by ENAC Bella to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

 

 

15. Confidentiality
Both ENAC Bella and the client agree to keep confidential all non-public information exchanged during the course of their engagement. This includes, but is not limited to, business plans, strategies, financial data, and proprietary information. Each party agrees not to disclose such information to any third party without prior written consent, except where required by law or regulatory obligations. This confidentiality obligation shall survive the termination of the agreement
